We have developed the Multi-Tech Overnight Replacement Service for our U.S. customers
to provide fast replacement for equipment failures. So fast, that delivery is made
overnight.

How does it work?
Once you purchase the Overnight Replacement Service
- Call Multi-Tech Systems Technical Support department at 1-800-972-2439 (763-785-3500),
Monday through Friday, 8:30 a.m. to 5:00 p.m. CST. A Multi-Tech technical support
representative will help to determine the equipment problem. If the Multi-Tech
representative determines that the equipment has failed, Multi-Tech will arrange for an
overnight replacement of a functionally equal unit.
- Upon receipt of the replacement equipment, return the failed equipment to Multi-Tech
Systems.
- Multi-Techs original manufacturers warranty on the equipment must not have
expired at the time the Overnight Replacement Service is purchased.

Terms:
The Multi-Tech Systems Overnight Replacement Service operates under the
following terms. Please be sure to read these terms carefully.
Multi-Tech offers this Overnight Replacement Service on selected Multi-Tech
products to serve as an addendum to the products warranty. This Overnight Replacement
Service offers two-year replacement service for a one-time fee.
The purpose of this agreement is to provide the customer with an overnight
replacement during the specified time period (two years after the effective date of this
agreement) for the Multi-Tech products listed in this agreement, if the product(s) should
cease functioning, as determined by Multi-Tech. The Overnight Replacement Service becomes
effective when full payment and the signed agreement are received by Multi-Tech. This
agreement shall remain in effect for a period of two years beginning on the date of the
execution of this agreement.
The Overnight Replacement Service only covers the units specified in this
agreement. A unique serial number identifies all equipment.
Multi-Tech agrees to use reasonable business efforts to deliver a functionally
equal replacement unit to an overnight express carrier on the same business day so as to
make delivery to the customer on the next business day. Calls received after 12:00 noon
Central Standard Time (CST) may not be processed until the next business day. Overnight
replacement is limited to destination addresses within the United States serviced by
overnight express carriers.
Multi-Tech does not offer on-site service to resolve any problems in connection
with the installation of replacement units. Multi-Tech will, however, provide on-line
support and troubleshooting from its headquarters. Multi-Techs technical support may
be reached toll free at 1-800-972-2439.
The replacement equipment becomes the property of the customer and the
defective/failed equipment becomes the property of Multi-Tech.
The replacement equipment is covered by this Overnight Replacement Service for the
remainder of the original two-year term of this agreement. No new warranty is given by
Multi-Tech on the replacement equipment.
Multi-Tech agrees to pay all transportation charges incurred in the overnight
shipping of the replacement equipment. Return of the defective/failed equipment and
transportation charges to Multi-Tech are the responsibility of the customer. The defective
product should be returned to Multi-Tech within ten days of receiving the replacement
unit. In the event that the defective unit(s) are not returned to Multi-Tech within ten
days, the customer agrees to pay Multi-Tech for the defective unit, at Multi-Techs
Manufacturers Suggested Retail Price which is current and in effect at the time of
the replacement.
Multi-Tech shall not be liable for any costs incurred by the customer related to
this agreement, including but not limited to travel, communications, telephone company
charges, technical troubleshooting, down time, training, customer services and equipment
installation unless such costs have been approved in advance and in writing by Multi-Tech.
This agreement does not apply to any units which have been damaged by lightning,
storms, water, or power surges or which have been neglected, altered, abused, used for a
purpose other than one for which they were manufactured, repaired by the customer or any
party without Multi-Techs written authorization, or used in any manner inconsistent
with Multi-Techs instructions. Multi-Techs entire obligation under this
agreement shall be limited to repair or replacement of any units that prove defective, or
at Multi-Techs option, issuance of a refund of the purchase price.
MULTI-TECH MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, AND ALL IMPLIED WARRANTIES
OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED.
MULTI-TECH WILL NOT BE LIABLE FOR CONSEQUENTIAL DAMAGES, NOR IS IT LIABLE FOR MORE
THAN THE ORIGINAL PRICE OF THE FAILED EQUIPMENT.
This agreement shall be construed under the laws of the State of Minnesota, the
principal place of business of Multi-Tech, and supersedes any prior agreement, verbal or
written, which may exist between Multi-Tech and Customer pertaining to the same general
subject matter. This agreement constitutes the entire agreement between the parties.
Multi-Tech and/or Customer reserves the right to submit any controversy arising
under this agreement to the American Arbitration Association for settlement by arbitration
to be held in the County of Ramsey, Minnesota in accordance with the rules of the American
Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be
entered in any Court having jurisdiction thereof. Failure of either party to perform any
of the covenants of this agreement by reason of acts of God, strikes, labor disputes, war,
transportation delays, unavoidable casualties, or any other cause beyond its control shall
not constitute a breach of this agreement.
Failure of either party at any time to require performance of any provision of this
agreement shall not affect the right to require full performance thereafter, and the
waiver by any party of a breach of such provisions shall not be taken or held to be a
waiver of any subsequent breach or as nullifying the effectiveness of such provision.
This agreement is not assignable by the Customer without the prior written consent
of Multi-Tech.
This agreement must be signed by a Multi-Tech sales manager and a duly authorized
representative of the Customer. Supplementary memoranda, agreements, and notices which
modify this agreement must also be signed by personnel of both parties who would
originally have been qualified to execute this agreement.
The Overnight Replacement Service begins upon Multi-Tech receiving the completed
agreement and full payment. This agreement can be renewed every two years until
Multi-Tech declares the product to be obsolete.
